# Why Become a NovaLink Distributor

**NovaLink** distributor programme

**Velace Electronics Trading L.L.C** manufactures and supplies the Mini PC and the operating system, and issues and signs all Distribution Agreements.

### 1. In short

NovaLink is the platform our partners build on, and this is its distributor programme. The devices and the operating system are designed, manufactured and supplied by **Velace Electronics Trading L.L.C**, which is also the company that signs your Distribution Agreement and invoices you.

In most countries we ship direct to the end customer. In a number of countries we cannot: customs and local regulation require an **importer of record established in that country**, holding the correct trade licence. Without a local authorised distributor, those markets stay closed.

That is what the distributor programme exists to solve. In each of those countries we work with a licensed local company which:

* purchases the devices from Velace;
* imports and resells the devices to local customers,
* receives customer payments locally, and
* completes last-mile delivery to the customer.

**You do not have to generate demand or run marketing campaigns**. Velace supports demand generation through its brand-level marketing. As an independent distributor, you purchase or source devices under the applicable supply model and resell them in your market in accordance with the Distribution Agreement. Your economic return is the gross resale margin you realise on each device resold. Velace does not guarantee any minimum order volume, supply volume, revenue or profit.

### 2. Two ways we supply a market

Which model applies to your market is confirmed in writing at Stage 4, before you commit anything. Both yield a gross margin per device delivered.

**Model A. Direct supply.** We ship finished devices to your port. You are the importer and seller of record: you clear customs, pay duties and import tax, hold the stock and deliver it. You buy finished devices from us, and no technical work on the devices is required. This is the model in most markets.

**Model B. Local supply.** You procure devices locally, to a hardware specification we issue and from a supplier we have approved. We license you our operating system, and your team installs it on every unit before delivery. You hold and deliver the stock exactly as in direct supply.

Local supply is the faster and cheaper route into some markets. Hardware is already available locally and landed cost is lower, so a market can open in weeks rather than quarters. It changes your cost base, because you buy the hardware locally rather than from us, and it adds a technical step before delivery.

**Two things local supply requires that direct supply does not:**

* A **named technician** on your team who can image and verify devices reliably at volume.
* The discipline to **source strictly to specification**, from the approved supplier and model, with no substitution.

Devices must be lawfully certified for sale in the applicable market. You are responsible for advising Velace on the local certification requirements, including whether the certificate must be held by an entity established in that market. The allocation of certification and related compliance responsibilities will be set out in the Distribution Agreement based on the requirements of your market and the agreed supply model.

### 3. Markets open for appointment

These are the 24 markets where an appointment is currently available. The application form carries the live list, so if a market has been filled or closed since this page was written, the form will be right and this table will not.

### 4. Margin and Terms

Distributors realise a gross margin of up to the amounts set out below, by device model, as set out in the applicable pricing annex

The margin figures below are indicative only and remain subject to confirmation in the applicable Distribution Agreement and country-specific pricing sheet. Velace reserves the right to amend these figures prior to the execution of a binding agreement.&#x20;

**How to read this table**

* Volume is counted **cumulatively per country where distributor is active**, across all hardware delivered in that market.&#x20;
* The margin is the difference between your distributor purchase price and the price at which you resell. Velace publishes a recommended retail price for reference. You set your own resale prices, subject to the maximum margin per device set out in the Distribution Agreement.

Volume counts devices resold and delivered by you to end-customers, not devices ordered from Velace.

* Tiers are **lifetime cumulative**.
* **Your cost base depends on the supply model.** Under direct supply you buy finished devices from us. Under local supply you buy hardware locally and license the operating system from us per device, so the arithmetic differs even where the margin per device is the same.&#x20;
* The figures above are the **gross margin**. Import duties, VAT or GST, customs brokerage, warehousing, last-mile courier, gateway fees and FX all come out of that figure, and all of them are set out in your country pricing sheet before you commit. Every distributor receives a country-specific pricing sheet at Stage 4, so you know your net position on paper before you pay for a single unit. **Do not assume the tier figure is your net profit until your pricing sheet is agreed.**

### 5. How the arrangement works in your favour

**1. Marketing is not your problem.**

Brand-level marketing happens on our side. You are not asked to run advertising, or hit a quota. As the seller of record in your market, you sell to and deliver to customers through the approved sales channels set out in the Distribution Agreement. No minimum supply volume, revenue or profit is guaranteed. Limited buyback arrangements for unsold stock may be negotiated upon termination of the Distribution Agreement.&#x20;

**2. One setup.**

The same company, licence, warehouse and gateway cover every device resold and delivered  in your market. No separate local setup for each batch or new line of products, should additional product lines become available to you later. Your setup cost is paid once.

**3. A defined position in your market.**

How many distributors we appoint depends on the size of the market: smaller markets typically take one, while large ones may support several covering different territories or customer segments. Distribution arrangements are generally non-exclusive unless expressly agreed otherwise in the Distribution Agreement after review.&#x20;

**4. Clear unit economics.**

An indicative margin per device, up to the amount agreed in writing per country before you order. No variable commission, no revenue-share formula to interpret.

**5. A streamlined supply relationship.**&#x20;

Under direct supply, hardware, operating system and freight come from Velace. Under local supply, the hardware specification, approved supplier and operating-system licence all originate with Velace, giving you a single reference point for the product standard.

**6. A scaling path, not a one-off deal.**

Tiers exist because we expect volume to grow. Where Velace is satisfied with a distributor’s performance under the Distribution Agreement, Velace may, at its discretion, offer access to new product lines or other incentives, subject to a written agreement. &#x20;

**7. No product, brand or platform cost.**

Hardware, firmware, brand, and product standard are ours. You are not building a product. Under direct supply, Velace provides a manufacturer's warranty on the devices. Under local supply, the allocation of warranty responsibility will be set out in the Distribution Agreement. The applicable warranty and faulty-unit procedures, including any replacement or credit arrangements, will be confirmed in the Distribution Agreement and may differ depending on the supply model and market.

### 6. What the role actually involves

Read this section carefully. It is an honest description of the work.

### 7. Prerequisites

#### Required. You cannot be appointed without these.

* **A registered company** in the target country. We cannot appoint individuals.
* **A trade licence that permits import and trading/distribution of electronic hardware** in that country, valid and in date.
* **A corporate bank account** in the company's name.
* **A payment gateway** **or merchant account** in the company's name, held or obtainable.
* **Under the direct supply model, verifiable funds** sufficient to cover at least the 96-device minimum order plus duties, taxes and logistics, from a lawful and documentable source. Under local supply, verifiable funds sufficient to cover the minimum deployment confirmed at Stage 4, plus applicable hardware, duties, taxes and logistics.
* **Import capability**, in-house or via a contracted licensed customs broker.
* **Warehousing and a last-mile delivery solution** (own or contracted).
* **A clean compliance profile**, with no sanctions, PEP or serious adverse-media issues affecting the company, its directors or its ultimate beneficial owners and willingness to disclose every UBO holding or controlling 25% or more.
* **An authorised signatory** with documented authority to sign the Distribution Agreement.
* **Tax / VAT registration** where applicable in your jurisdiction.

#### Additional, in local-supply markets only

* **A named technician** on your team, able to image and verify devices reliably at volume. Not a contractor you have yet to find.
* **A workspace** for preparation and quality checks, with secure storage for units awaiting delivery.
* **Local hardware sourcing** capability, and willingness to buy strictly to specification from an approved supplier.
* **Serial-level record keeping** for every device prepared.

#### Strong advantages

* Existing consumer-electronics, IT or telecom distribution experience.
* Prior experience with local homologation or product registration.
* Established courier or 3PL relationships.
* A record of importing into the target market in the last 12 months.
* Multilingual customer-facing team.

#### Automatic disqualifiers

* Applying as an individual with no company and no intention to form one.
* Refusal or inability to disclose ownership / UBOs, or ownership that does not reconcile to 100%.
* Sanctions, PEP or serious adverse-media match on the company, a director or a UBO.
* Funds insufficient for the minimum commitment, or of unverifiable source.
* Expired, altered or inconsistent corporate documents.
* A destination market subject to embargo or export restrictions on the products.

### 8. How the process works

### 9. Please read before you apply

* **This is a commercial resale arrangement.** You purchase hardware at a distributor price and resell it in your market. Your return depends on the devices you sell.
* **Volumes are not guaranteed.** Your margin per device is capped at the amount set out in the applicable pricing sheet; the number of devices sold in your country is not fixed or guaranteed and no minimum revenue is promised.
* **Stock is prepaid.** You carry the working-capital and inventory risk on each batch. There is no general buyback commitment or guarantee, limited buyback arrangements for unsold stock may be negotiated upon termination of the Distribution Agreement.&#x20;
* **Nothing here is an offer or an appointment.** Figures on this page are indicative. Only a signed Distribution Agreement, following Stage 5 sign-off, creates any obligation on either side.
* **No agency or franchise relationship.** Nothing on this page is intended to create rights under local consumer, franchise, agency, commercial-representation or similar laws, to the maximum extent permitted by applicable law. The distributor acts in its own name and for its own account and has no authority to bind Velace.&#x20;
* **Applying does not reserve a territory and the distribution appointment is generally non-exclusive.** How many distributors a market supports depends on its size and/or on local regulations. Countries are allocated on merit and readiness, not on order of application.
* **There is no application fee.** We will never ask you to pay a fee, deposit, or send cryptocurrency to "secure" or "reserve" a country. Any payment you make will be against a signed agreement and a formal invoice from Velace Electronics Trading L.L.C to a bank account named in that agreement. Anyone asking otherwise is not us. Report it to <support@velace.com>.
* **Verify who you are talking to.** Official contact comes only from **\[official domain]** addresses and the Telegram accounts listed at **\[official channels page]**.

### 10. Data protection and export control

**Data Protection**

Velace Electronics Trading L.L.C is the controller of the personal data you submit. We collect and process corporate and personal data, including identification documents and details of directors, authorised signatories and ultimate beneficial owners, for the purposes of assessing your application, performing KYC and KYB verification, sanctions, PEP and adverse-media screening, and complying with our legal and regulatory obligations. Data may be shared with our screening providers and professional advisers, and with competent authorities where required by law. Data is retained for the period required under applicable law and our internal policies. You may request access to, or correction of, your personal data by contacting \[official contact email]. Full details are set out in the privacy notice on the application form.

**Export control and territory**

Devices and the operating system are supplied for import and resale in the appointed territory only. You may not export, re-export, transfer or resell the devices or the operating system to any destination outside your appointed territory, or to any person or destination subject to applicable sanctions or export restrictions, without our prior written approval. You are responsible for compliance with applicable export control and sanctions laws in respect of your own activities.

### 11. Frequently asked questions

**Do I need to build my own marketing?**

No. Demand generation and brand-level marketing are handled by Velace. You are the seller of record: you process the sale, collect payment and deliver. You do not need to run advertising, build a sales team or develop your own marketing strategy.&#x20;

**Can I apply as an individual?**

No. You must apply as, or on behalf of, a registered company holding the correct trade licence. If you do not yet have a company but are willing and able to form one, apply and say so on the form. We will assess on that basis.

**Which countries are open?**

Section 3 lists them, and the application form carries the live version. Markets already in advanced discussion are not listed.

**Can I cover a region rather than a country?**

Appointments are per country, because the licence and import requirements are per country. Multi-country coverage is possible where one entity can lawfully act as importer for several markets and is decided case by case.

**How much capital do I need?**

Under direct supply, at minimum enough to prepay 96 devices plus duties, taxes and freight (approximately US$25,000). Under local supply, the minimum commitment is confirmed at Stage 4. The exact figure is market- and supply-model-specific and confirmed in your pricing sheet.

**How long until I can start?**

After Stage 6 described in Section 8. How fast you get there depends mainly on how quickly you return a complete document pack.&#x20;

**Do I need technical staff?**

In direct-supply markets, no. Devices arrive finished and you import, store and deliver them. In local-supply markets, yes, and it is not optional: you need someone on your team who can install our operating system on every unit and verify it before delivery. If you cannot staff that, apply for a direct-supply market instead.

**Which model applies to my market?**

We confirm it in writing at Stage 4, alongside your pricing sheet, so you see the model and the numbers together before committing.

**Who handles warranty and technical support?**

End-user support relating to the operating system and platform is always handled by Velace. Under direct supply, Velace provides a manufacturer's warranty on the devices. Under local supply, warranty allocation is confirmed in the Distribution Agreement. As the seller of record, you are responsible for after-sales support to your customers under applicable consumer-protection law. The Distribution Agreement will set out the applicable warranty and faulty-unit procedures, including any replacement or credit arrangements.
